1.1 Application of terms
Any purchase of goods, equipment, installation or other services (each such purchase, ‘’the Contract’’) from Zap Auto Electric Ltd shall be on these terms and conditions (the Conditions) to the exclusion of all other terms and conditions.
1.2 Application of terms
No variation to these conditions nor any representations about the relevant equipment or service shall have any effect unless expressly agreed in writing.
2.1 Installation
When carrying out installation we will provide detailed instructions to you about site preparation and other requirements required during the installation. Customer that do not follow pre appointment instructions from Zap Auto Electrical could cause delay or cancellation of installation due to health and safety reason, customer will be liable for cost occurred If customer supplies parts that are faulty or are not compatible with vehicle or machinery then will not complete installation, but we will still charge our labour fee and we are not liable for cost of parts supplied by customer.
2.2 Installation
Installation by Zap Auto Electrical Ltd will be carried out by a competent qualified person with the necessary skills and test equipment. All our quotations are provided in good faith. It is the responsibility of the customer to ensure the parts are correct for the vehicle. This includes all aspects of part and installation kit. It is recommended that you provide Zap Auto Electrical Ltd with any part or reference numbers or a photograph of the original parts in advance (we are open 6 days a week) as this is the only way to be 100% certain of the correct part. We cannot in any way be held responsible for the part of an incorrectly supplied or incorrectly fitted by a third Party.
3.2 Intellectual Property Rights
As between the customer and Zap Auto Electrical Ltd, all intellectual property rights in the relevant equipment and created during the relevant installation or service shall be owned by Zap Auto Electrical Ltd.
4.1 Diagnostic and solution services
When carrying out diagnostics and solution support we will provide detailed instructions to you about site preparation and other requirements required during the diagnosing and solution support. Customers that do not follow pre appointment instructions from Zap Auto Electrical could cause delay or cancellation of diagnosing and solution support due to health and safety reason, customer will be liable for cost occurred.
4.2 Diagnostic and solution services
We will provide you with technical advice and assistance during our normal business hours for the duration of the period for which you purchase services. The objective of our service is to provide an initial advice and assistance. It is not our responsibility to fix or repair a customer’s vehicle electronics, electrical systems or computers damage by customer or third parties, our service is to advise and assist customer in finding an affordable solution to any fault or damage.
5.1 Cancellation
Customer most notify Zap Auto Electrical Ltd of appointment or service cancellation at least one hour before appointment or service is to as taking place, to avoid cancellation charges. Failure of customer to notify Zap Auto Electrical Ltd of cancellation means customer will be liable to pay Zap Auto Electrical the hourly rate of labour, to compensate for cost occurred of our engineer, transportation of goods, equipment and services.
6.1 Events outside our control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by an Event Outside Our Control. An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
7.1 Prices
All prices included in the Company’s quotations are provisional and are subject to alteration upwards or downward without notice according to the Company’s price or prices ruling at the date of invoice. Prices are exclusive of VAT unless expressly stated to be VAT inclusive.
8.1 Payment
Payment methods are cash, bank cards, bank credit cards, and bank account transfer, currency being Pound Sterling only. We do not accept loyalty cards or other methods of payment. Time for payment shall be of the essence, payment will be collected in full on the same day that the work done, unless credit arrangements were agreed by Zap Auto Electrical Ltd priory to any work or sale being done. The customer shall make all payments in full without any deduction whatsoever.
8.2 Payment
If the customer fails to pay Zap Electrical Ltd any sum due to pursuant to the contract. Zap Auto Electrical may retain the customers’ vehicle or any such property in the possession of Zap Auto Electrical Ltd as security of such sum (with a right to sell such in order realise the sum due). The customer shall be liable to pay the annual rate of 4% above the rate set from time to time by the rate set from time to time by the Monetary Policy Committee of the Bank of England.
9.1 Settlement terms
Maximum credit allowed is must be paid in full within seven days working days of the date stated on invoice. We reserve the right to suspend service to any customer if the payment or deposit is overdue. Any old debt given to our debt collectors for collection will incur a 15% collection fee.
10.1 Warranty
The Company hereby warrants the Goods are free from any material defect in workmanship and materials and correspond with any agreed specification by the Company’s liabilities under this warranty shall be limited to replacing any defective goods. The Company’s liability under this warranty is also conditional upon: a)Written notice of the defect being given to the Company within 14 days after discovery of the same and in any event within one month after either the date of delivery or the date on which the Customer was informed that the Goods are ready for delivery whichever occurs first, b)The goods having been properly stored and used by the Customer prior to the defect occurring, c) The Goods not having been subjected to any abnormal or improper use or modification: and d)The Goods having been returned at the Company’s request but at the Customer’s expense for inspection. Please note, if a product returned under warranty has failed in use we may repair and return the product.
11.1 Consequential damages
The Company shall not in any way be liable or responsible for consequential loss or damages claims or liabilities of any kind whatsoever and howsoever arising in respect of third party workmanship, warranties, criminal acts, supplies, insurance companies or unknown accidents.
12.1 Legal construction
This Contract shall in all respects be construed and operate as an English Contract and in conformity with English Law and the parties submit to the jurisdiction of the Courts of England and Wales.
